General Terms and Conditions for Mor Monshizadeh

1. Scope and Definitions

1.1 These Terms and Conditions (T&Cs) govern all agreements between Mor Monshizadeh (“MorVoice”, “we”) and customers (“Customer”) for the use of our software, cloud, and AI services, including related websites, interfaces (APIs), SDKs, documentation, and support (collectively, the “Services”).

1.2 Customer terms that deviate from, conflict with, or supplement these T&Cs will only apply if we expressly agree in writing.

1.3 “Consumer” means a natural person acting for purposes outside their trade, business, or profession. “Business Customer” means any person or entity acting in a commercial or professional capacity. Our Services are primarily intended for business customers (B2B).

2. Conclusion of Contract, Trials

2.1 MorVoice’s offers are non‑binding. A contract is formed upon our confirmation of the Customer’s order (e.g., by email, checkout flow) or by providing access to the Services.

2.2 If a trial period is granted, use during the trial is free and may be terminated by MorVoice at any time with effect for the future.

2.3 The Customer warrants that all information provided is accurate and complete.

3. Services, Availability

3.1 The nature and scope of the Services are set out in the applicable service description and the selected plan.

3.2 MorVoice may further develop and adapt the Services in a manner reasonably acceptable to the Customer, provided essential contractual obligations are not adversely affected.

3.3 Availability and any service levels are described in the service description. Maintenance windows and necessary operational interruptions will be announced where reasonably possible.

4. Customer Responsibilities

4.1 The Customer must keep credentials confidential, prevent unauthorized access, and notify us without undue delay if misuse is suspected.

4.2 The Customer is responsible for content and data it inputs, uploads, or generates through the Services and must ensure no third‑party rights are infringed and no unlawful content is processed.

4.3 The Customer shall take reasonable measures to back up its data regularly.

5. Rights of Use, IP

5.1 MorVoice grants the Customer a non‑exclusive, non‑transferable, non‑sublicensable right to use the Services during the term in accordance with the agreement, service description, and documentation.

5.2 Reverse engineering, decompilation, modification, transfer to third parties, or any use beyond the contractual purpose is prohibited unless mandatory law provides otherwise.

5.3 All rights in and to the Services, including enhancements, remain with MorVoice and its licensors.

5.4 Open‑source components are provided under their respective OSS licenses. The Customer complies with those license terms.

6. Generated Content and Training Data

6.1 Where the Services provide AI functionality, the Customer is responsible for the use of generated content and must validate outputs prior to production use.

6.2 Unless agreed otherwise, MorVoice does not use Customer inputs/outputs to train models (“no training by default”). Use for operations, security, and abuse detection remains permitted. Details are set out in the Privacy Policy and, where applicable, a Data Processing Agreement (DPA).

7. Fees, Billing, Payment

7.1 The agreed prices or the tariffs displayed at the time of ordering apply. Prices are net plus applicable taxes.

7.2 Invoices are due immediately unless otherwise stated. The Customer will be in default 14 days after the due date without further notice.

7.3 MorVoice may reasonably adjust prices for future billing periods. Price changes will be communicated in advance; the Customer may terminate as of the effective date if the change is unreasonable.

8. Term, Termination, Suspension

8.1 Unless otherwise agreed, contracts with recurring services renew automatically for the respective renewal period unless terminated in due time.

8.2 Either party may terminate for cause if there is a material breach or payment default.

8.3 MorVoice may temporarily suspend accounts in case of breaches of these T&Cs or security risks where necessary to prevent harm.

9. Warranty

9.1 MorVoice provides no warranty for free services (e.g., trials, beta features).

9.2 Statutory warranty applies subject to the limitation that immaterial deviations from the agreed quality do not constitute defects.

10. Liability

10.1 MorVoice is liable without limitation for intent and gross negligence, for injury to life, body, or health, and under the German Product Liability Act.

10.2 For simple negligence, MorVoice is liable only for breaches of material contractual duties; liability is then limited to typical foreseeable damage.

10.3 Any further liability is excluded.

11. Data Protection, Confidentiality

11.1 MorVoice processes personal data in accordance with the Privacy Policy.

11.2 The parties will keep confidential information confidential.

11.3 Where MorVoice acts as a processor, the parties will enter into a DPA pursuant to Art. 28 GDPR. Sub‑processors may be used in compliance with applicable law.

12. Export Control and Compliance

12.1 The Customer complies with applicable export, sanctions, and embargo regulations and will not use the Services for prohibited purposes.

12.2 The Customer must promptly report suspected misuse or security risks.

15. Voice and AI Features

15.1 MondialSpeech, Mor AI, and MorVoice provide voice, text, and AI‑based capabilities. 15.2 The Customer is solely responsible for using these features and ensuring that any audio, voices, text, or other content used does not infringe third‑party rights.

15.3 MorVoice reserves the right to automatically scan audio for misuse, spam, or infringements of third‑party rights.

15.5 MorVoice does not train AI models with individual customer data or voices unless the Customer has given prior explicit written consent.

15.7 If misuse is suspected (e.g., deepfakes, deception, unauthorized use of third‑party voices), MorVoice may suspend the account without prior notice.

16. Medical Content and Disclaimer

16.1 Mor AI does not provide medical advice or diagnosis. All generated text, voice responses, and information are intended solely for pre‑communication or appointment coordination.

16.2 The Customer undertakes to review AI responses before production use and to ensure that no medical decisions are based solely on AI output.

23. Protection of MorVoice Voices

23.1 All voices, speech profiles, synthetic samples, models, and technical parameters generated by MorVoice (“MorVoice Voices”) are protected by copyright and trade secret law.

23.2 Customers and third parties are expressly prohibited from (i) downloading/extracting for retraining (ii) using for benchmarking, or (iii) cloning voice models.


14. Final Provisions

14.1 German law applies.

14.2 Place of jurisdiction for merchants is Hamburg.

14.3 If any provision is or becomes invalid, the remaining provisions remain in effect.
